These Terms and Conditions apply to all website design and development services provided by EasyMediaUK Limited (“EasyMediaUK”) to the Client.
By accepting a quotation, paying a deposit, or providing written confirmation to proceed with a project, the Client confirms acceptance of these Terms and Conditions.
1. Quotations and Scope of Work
All quotations provided by EasyMediaUK are valid for 30 days from the date of issue.
The quotation defines the scope of work agreed between EasyMediaUK and the Client.
Any work requested by the Client that falls outside the agreed scope may be treated as additional work and may be quoted separately.
Examples of additional work include but are not limited to:
- Additional pages
- New functionality
- Major design changes
- Additional integrations
- Content creation not included in the original quotation
2. Payment Terms
Unless otherwise agreed in writing, project fees are payable as follows:
- 33% deposit before work commences
- 33% payment upon completion of the development stage
- Final 34% payment prior to website launch or release of project files
Invoices are due upon receipt.
EasyMediaUK reserves the right to suspend work or delay launch if invoices remain unpaid.
Accounts outstanding 30 days after invoice date may incur a late payment charge of 1.5% per month or £30 (whichever is greater).
3. Client Responsibilities
The Client agrees to:
- Provide all required content including text, images, logos, and other materials
- Ensure that all materials supplied are legally owned or licensed
- Nominate a single point of contact to communicate with EasyMediaUK
- Provide feedback and approvals in a timely manner
Delays in providing content or approvals may result in project delays or additional charges.
4. Project Delays Caused by Client
EasyMediaUK schedules work based on agreed timelines.
If progress cannot be made because the Client has not supplied required content or approvals, EasyMediaUK reserves the right to:
- Reschedule the project
- Apply a surcharge of up to 25%
- Invoice for work completed to date
If no required materials are provided within 30 days of project commencement, EasyMediaUK may close the project and invoice the remaining balance.
5. Client Review and Approval
During the project EasyMediaUK will provide opportunities for the Client to review design and development progress.
At project completion the Client will have 10 working days to request revisions.
After this period the project will be deemed accepted and approved.
6. Website Launch
The website will be launched once:
- The final invoice has been paid
- All required content has been provided
- Final approval has been received
EasyMediaUK reserves the right to delay launch until outstanding invoices are settled.
7. Intellectual Property
The Client retains ownership of all content supplied to EasyMediaUK.
Upon receipt of full payment, the Client will own the final website design and custom code created specifically for the project, excluding:
- third-party software
- open source frameworks
- licensed plugins
- proprietary EasyMediaUK tools or systems
The Client is responsible for ensuring all materials provided do not infringe copyright or intellectual property rights.
8. Design Credit
EasyMediaUK may include a small design credit in the website footer linking to EasyMediaUK.
This credit may be removed upon request prior to project completion.
EasyMediaUK reserves the right to display the completed website in its portfolio and marketing materials.
9. Web Browser Compatibility
Websites are developed to work with modern versions of major web browsers, including:
- Google Chrome
- Microsoft Edge
- Safari
- Mozilla Firefox
EasyMediaUK does not guarantee compatibility with outdated browsers or future browser releases.
Updates required due to future browser changes may be quoted separately.
10. Third-Party Services
Websites may rely on third-party services such as:
- hosting providers
- payment gateways
- APIs
- plugins
- domain registrars
EasyMediaUK is not responsible for interruptions, failures, or changes to third-party services.
11. Hosting and Domains
Where EasyMediaUK assists with domain registration or hosting setup:
- The Client remains the legal owner of the domain
- Renewal fees are the responsibility of the Client
- EasyMediaUK is not responsible for domain loss due to missed renewal payments
12. Maintenance Packages
Maintenance packages provide ongoing support and development services.
Maintenance services may include:
- website updates
- bug fixes
- security updates
- minor development tasks
Maintenance hours do not roll over and reset at the end of each month.
Maintenance services may be suspended if payment is not received.
Maintenance packages may be cancelled by the Client with written notice.
13. Post-Launch Changes
Changes requested after the website launch that fall outside the agreed scope will be treated as new work and may be quoted separately.
14. Termination
Either party may terminate a project in writing.
The Client will be invoiced for work completed up to the date of termination.
All completed work remains the property of EasyMediaUK until invoices are fully paid.
15. Limitation of Liability
EasyMediaUK shall not be liable for any:
- indirect loss
- loss of profit
- loss of business
- loss of data
- consequential damages
arising from the use of services provided.
The total liability of EasyMediaUK under this agreement shall be limited to the total fees paid by the Client for the relevant project.
16. Indemnity
The Client agrees to indemnify and hold EasyMediaUK harmless from any claims arising from materials supplied by the Client, including copyright infringement or unlawful content.
17. Governing Law
These Terms and Conditions are governed by the laws of England and Wales.
18. Revisions and Change Requests
The project quotation includes a reasonable number of revisions necessary to complete the agreed scope of work.
A revision is defined as a small change to existing work, such as text adjustments, colour changes, layout tweaks, or minor design modifications.
Requests that significantly alter the approved design, functionality, or structure of the website may be considered a change of scope and may require a separate quotation.
EasyMediaUK reserves the right to determine whether a requested change constitutes a revision or additional work.
19. Third-Party Software, Plugins and Integrations
Websites may incorporate third-party software, plugins, themes, APIs, or integrations.
While EasyMediaUK will make reasonable efforts to ensure compatibility at the time of development, EasyMediaUK cannot guarantee:
- long-term compatibility
- continued availability
- security updates
- ongoing support from third-party providers
If a third-party component becomes unavailable, unsupported, insecure, or incompatible with future systems, EasyMediaUK may recommend alternatives and quote separately for any required replacement or redevelopment.
EasyMediaUK is not responsible for failures caused by third-party software outside its control.
20. Dormant or Abandoned Projects
Projects may become delayed if required information, approvals, or content are not provided by the Client.
If a project remains inactive for 30 days or more, EasyMediaUK reserves the right to place the project on hold.
If the project remains inactive for 60 days or more, EasyMediaUK may:
- close the project
- invoice for work completed to date
- charge a restart fee if the project is resumed later
Restart fees may apply due to the need to reallocate resources, review previous work, and re-schedule development.
21. Website Security and Updates
Once a website has been launched, ongoing maintenance such as:
- software updates
- plugin updates
- security patches
- backups
is the responsibility of the Client unless the Client subscribes to an EasyMediaUK maintenance package.
EasyMediaUK cannot be held responsible for security vulnerabilities, hacking incidents, or website failures resulting from outdated software where ongoing maintenance services have not been agreed.
